Our Mergers & Acquisitions (M&A) practice is establishing itself as one of the leaders in mergers and acquisitions in Uganda. Our Firm boasts of well trained, experienced, dynamic and committed lawyers who have been involved in some of the more challenging and complex M&A transactions. We advise clients on a broad range of transactions including joint ventures, asset and business acquisitions as well as disposals, corporate re-organisations, privatizations and mergers, leverage buyouts, capital restructuring and private equity investments.



Our lawyers understand the requirements and expectations of both sides of financing deals. We offer thoughtful and comprehensive legal advice to a broad range of domestic and international banks and other financial institutions, as well as their clients on a wide variety of financial instruments domestic and cross-border transactions.

We handle a variety of financing and funding transactions including loan origination work, domestic and cross-border secured and unsecured bilateral and syndicated loans, security arrangements, registration and enforcement of loans and security in Uganda, loan restructurings and refinancings as well as general banking transactions and facilities.

We also advise our clients on the full spectrum of banking laws and regulations including licensing, regulatory capital and conduct of business requirements.



Our corporate and commercial practice is broad-based and comprehensive. It is reflective of the diversity of our clientele, as well as the industries that they operate in. We are actively involved in domestic and cross-border transactions, representing listed companies, multinational corporations, government linked corporations, private firms and individuals. Our lawyers are well versed with the regulatory and compliance requirements for setting up business operations in Uganda, including immigration and employment related matters.

We regularly advise leading international investment banks on the legal and regulatory environment affecting derivatives products in Uganda. We have advised clients on products including futures and ISDA documentation-based transactions, swaps and repos as well as credit derivatives.

We also provide company administration services to both private and public listed companies for whom we act as company secretary and/or provide corporate secretarial support. Our corporate secretarial services also include advising on corporate governance issues and compliance with domestic listing requirements and registering businesses.

As part of our institutional real estate practice, we advise on the acquisition and sale of condominium property and mortgage financing. Our practice handles registration of trademarks, patents and designs in Uganda, Kenya, Tanzania, Rwanda, Burundi, DR Congo and South Sudan through a network of associate agent firms. We advise our clients on protection and commercial exploitation of their IP rights, on assignment of intellectual property agreements and on licensing and franchising arrangements.
